Project legal services
Plan the exit payment, release of guarantees and handover together before agreeing to leave.
Discuss this projectWhen this service fits
For shareholders, founders and joint-venture investors considering separation from a China business. An agreed headline price may leave unresolved shareholder loans, unpaid capital, guarantees, management roles or control of company records. First identify the legal structure: a company and a partnership need different exit analysis.
What the agreed work can deliver
- An exit route memo comparing available transfer, negotiated buyout and other legally available options against the documents.
- An issue schedule covering price mechanics, shareholder loans, capital obligations, guarantees and historical responsibilities.
- Negotiation positions and transaction documents linking payment, conditions, releases and handover.
- A closing checklist for documents, company records, authority changes and required registration steps.
Work in stages
- Diagnose the position: review ownership, the constitutional documents, agreements, funding and liabilities.
- Negotiate the arrangement: coordinate legal questions for valuation advisers and agree payment and risk allocation.
- Document and close: support agreed documents, conditions, releases and handover steps.
Scope and boundaries
A share transfer does not by itself release a personal guarantee or eliminate every historical obligation. Required creditor consent or release must be dealt with separately. Valuation, audit and tax advice are provided by the relevant advisers; contested proceedings are separately scoped.
How scope and fees are agreed
Fees can be agreed by assessment, negotiation and closing stage, specifying entities, documents and negotiation rounds. Formal valuation, tax work, third-party charges and contentious proceedings are identified separately.
The law firm accepts the engagement and agrees the scope and fees in writing before substantive work starts. Fees, applicable taxes, expenses, languages, deliverables and any additional work are confirmed in the engagement terms. Sending an enquiry does not itself create an engagement.
Documents to prepare
- Shareholding or partnership records, articles, investment agreements and capital contribution records.
- Shareholder loans, guarantees, security documents and significant disputed liabilities.
- The proposed exit terms, correspondence and any agreed payment or closing deadline.
A practical question
Can I leave the company first and address my guarantee afterwards?
Treat the guarantee as a separate issue before signing. The documents should identify who must consent, what release is needed and how the exit sequence addresses a release that is not obtained.
Discuss this project
For a first enquiry, send the parties’ names, your role, a short outline and any actual deadline. After a conflict check, the document review and proposed work can be scoped. Please agree a suitable channel before sending sensitive case files.
The website language does not determine the language of meetings or deliverables; those arrangements are agreed for the matter.
