China Business Wind-Down & Company Closure Legal Support

Project legal services

Coordinate employees, premises, contracts and liabilities in one legal work plan.

Discuss this project

When this service fits

For businesses closing a China branch, discontinuing a business line or ending China operations. These decisions have different legal consequences. A branch closure, an operational shutdown and dissolution of a company are not interchangeable, and the sequence of notices, settlements and formal steps matters.

What the agreed work can deliver

  • A route and dependency map identifying the proposed closure, responsible entities and legal decisions.
  • An employee, lease and contract issue register, including notices, accrued obligations and disputed items.
  • Drafts for agreed negotiations, termination or settlement arrangements and corporate decisions.
  • A closing file and progress checklist distinguishing prepared documents, signatures, submissions and confirmed completion.

Work in stages

  1. Assess the position: establish assets, debts, employees, contracts and the proposed end date.
  2. Arrange the wind-down: coordinate negotiations, required decisions and dependencies with management and other advisers.
  3. Support the agreed closing steps: track notices, settlements, liquidation or deregistration work where included.

Scope and boundaries

Stopping operations does not itself extinguish debts or employment obligations. Insolvency indicators require a separate assessment rather than an assumption that ordinary deregistration is available. Tax clearance, accounting and regulator decisions depend on the relevant professionals and authorities.

How scope and fees are agreed

A phased proposal distinguishes legal planning, negotiations and agreed closing implementation. Entities, employee groups, sites, disputed matters and coordination with accountants are specified; bankruptcy proceedings and new disputes require separate agreement.

The law firm accepts the engagement and agrees the scope and fees in writing before substantive work starts. Fees, applicable taxes, expenses, languages, deliverables and any additional work are confirmed in the engagement terms. Sending an enquiry does not itself create an engagement.

General fee information

Documents to prepare

  • Entity and branch information, the proposed scope of closure and any binding deadline.
  • Employee totals and contract types, leases, major contracts and an asset/liability summary.
  • Pending claims, guarantees, tax or regulatory notices and records of existing corporate decisions.

A practical question

Is closing a branch the same as closing the company?

No. The first stage identifies the legal entity and the business being discontinued, then separates operational, employment, contractual and registration steps appropriate to that structure.
