Project legal services
Identify ownership and document gaps before the buyer’s due diligence exposes them.
Discuss this projectWhen this service fits
For owners preparing to sell a China company or business. Unclear equity history, intellectual property ownership, employee incentives and undocumented contract changes can interrupt a transaction. Legal preparation turns the existing record into an organised file of verified documents, unresolved issues and agreed remedial steps.
What the agreed work can deliver
- A legal readiness review covering the agreed corporate, intellectual property, employment and material-contract workstreams.
- A prioritised remediation register identifying evidence gaps, required consents, disputes and responsible people.
- Appropriate confirmation, amendment or transfer documents reflecting verified facts and actual signing dates.
- An indexed due-diligence document set, disclosure issue list and controlled handover plan for the buyer’s advisers.
Work in stages
- Find the gaps: compare registered ownership and contractual rights with the company’s actual records.
- Address the priorities: coordinate lawful corrections, consents and negotiation of identified disputes.
- Prepare for review: organise documents and unresolved matters for disclosure under agreed access conditions.
Scope and boundaries
Preparation does not guarantee a sale, valuation or clean due-diligence result. Missing history must be disclosed and addressed lawfully, not concealed or backdated. Financial audit, valuation, tax and specialist regulatory work are separately scoped; external data rooms require agreed access and data-handling arrangements.
How scope and fees are agreed
Work can be priced by review, remediation and handover stage. The proposal identifies entities, business lines, document volume and buyer-question rounds. Sale negotiation, transaction documents and regulatory filings are included only if expressly agreed.
The law firm accepts the engagement and agrees the scope and fees in writing before substantive work starts. Fees, applicable taxes, expenses, languages, deliverables and any additional work are confirmed in the engagement terms. Sending an enquiry does not itself create an engagement.
Documents to prepare
- The proposed sale structure, entity chart, equity history and available corporate records.
- Intellectual property registrations and assignments, key employee/incentive documents and material contracts.
- Known disputes, guarantees, licences and the buyer’s request list or proposed timetable.
A practical question
Can missing historical documents simply be recreated?
Existing facts can be investigated and, where appropriate, documented through current confirmations or corrective arrangements. The actual date and evidence basis must remain clear, and an unresolved gap should remain identified.
Discuss this project
For a first enquiry, send the parties’ names, your role, a short outline and any actual deadline. After a conflict check, the document review and proposed work can be scoped. Please agree a suitable channel before sending sensitive case files.
