Major Order Contract Review & Negotiation Support in China

Project legal services

A large order should have a workable route from production funding to acceptance and payment.

Discuss this project

When this service fits

For suppliers and businesses negotiating a major China-related supply contract: the customer requires substantial upfront production, controls acceptance, can cancel orders or seeks broad compensation. Review the commercial exposure before signing, placing upstream orders or accepting a new contract version.

What the agreed work can deliver

  • A priority risk memo connecting deposits, production spending, acceptance milestones and payment dates.
  • Contract revisions addressing specifications, order changes, inspection, deductions, cancellation, delay and liability limits.
  • A negotiation brief with proposed wording, fallback positions and the commercial trade-offs requiring your decision.
  • Participation in agreed negotiation rounds, with an issue log and a final signing checklist covering annexes and authority.

Work in stages

  1. Map the transaction: confirm your role, expected margin, funding exposure, dependencies and deadlines.
  2. Prepare and negotiate: review the complete document set, develop positions and support the agreed rounds.
  3. Close the agreed phase: reconcile final versions, unresolved points, signature requirements and performance records to keep.

Scope and boundaries

The client decides pricing, credit exposure and concessions. Legal support does not provide financing, credit insurance or a guarantee that the order will be signed or paid. Later collection, arbitration or litigation requires a separate scope.

How scope and fees are agreed

A project or stage-based proposal can cover the signing and negotiation phase. It specifies contracts and annexes, revision rounds, meetings, participating entities and any bilingual work. New orders or substantial changes are scoped before extra work.

The law firm accepts the engagement and agrees the scope and fees in writing before substantive work starts. Fees, applicable taxes, expenses, languages, deliverables and any additional work are confirmed in the engagement terms. Sending an enquiry does not itself create an engagement.

General fee information

Documents to prepare

  • The complete proposed contract, purchase order, specifications and referenced customer terms.
  • A short payment and production schedule, including upstream commitments and cancellation exposure.
  • Key correspondence, the current negotiation version and the actual signing deadline.

A practical question

Can the review focus on the terms that determine whether the order is worth taking?

Yes. The agreed brief can prioritise cash exposure, acceptance, payment recovery and maximum liability, then identify which concessions need a business decision. The final scope depends on the documents and transaction.

Discuss this project

For a first enquiry, send the parties’ names, your role, a short outline and any actual deadline. After a conflict check, the document review and proposed work can be scoped. Please agree a suitable channel before sending sensitive case files.
