A Chinese supplier has missed a refund, and its owner says, “I will make sure you are paid.” That statement deserves examination, but it does not by itself establish a personal guarantee or allow a foreign buyer to collect the company’s debt from the owner. The first questions are who made the promise, in what capacity, what obligation was accepted and when action must be taken.

This guide concerns undertakings governed by mainland Chinese law. The law applicable to the sale, refund and separate undertaking must be checked individually; an international sales convention does not automatically settle personal-guarantee liability. The refund obligation itself must also be established. The rules discussed below took effect on 1 January 2021; earlier transactions need a separate transitional-law review.

1. Identify the person, the company and the capacity of the signature

Start with the purchase contract, payment record, refund agreement and complete message chain. Check the supplier’s registered identity and whether the person signed for the company, personally, or in both capacities. A shareholder or legal representative discussing the company’s refund is not necessarily undertaking a personal payment obligation.

Preserve the original signed document, attachments, relevant email headers and complete account-linked messages. A cropped screenshot or a signature without the surrounding text may leave both identity and capacity disputed. If a personal undertaking is intended, identify the creditor, supplier, underlying order and refund debt, and separate the personal signature from the company’s execution block. A company stamp alone does not explain what its owner personally promised.

2. Distinguish a guarantee from a company promise, debt accession and assistance

The substance of the undertaking matters more than a document heading or an isolated sentence. These possibilities require different legal treatment:

Possible undertaking What needs examination
A promise made for the supplier Does the person merely confirm when the company will pay, without assuming a separate personal obligation?
A personal guarantee Does the person undertake responsibility for the supplier’s debt if the debtor fails to perform or an agreed condition occurs?
Joining the debt Does the person intend to become an additional debtor, with the conditions and agreed scope of Civil Code Article 552 satisfied?
Assistance or another limited obligation Does the person only promise to arrange payment, communicate or take a specified step? Any liability depends on the obligation actually accepted.

Article 36 of the Supreme People’s Court interpretation on the Civil Code’s guarantee system addresses credit-support undertakings, including the distinction between a guarantee and joining a debt. Where an undertaking falls within its guarantee/debt-accession provisions but cannot be classified between the two, it is treated as a guarantee. This does not convert every vague assurance into a guarantee: an undertaking outside those categories does not automatically support guarantee or joint liability, although other agreed obligations may remain enforceable.

3. Confirm the written undertaking, guarantee type and scope

Under Civil Code Article 685, a guarantee may be a separate written contract or a clause in the main contract. A third party’s unilateral written guarantee delivered to the creditor can also form a guarantee contract where the creditor receives it without objection. For electronic communications, preserve evidence of authorship, completeness, receipt and the exact terms; the availability of a chat record alone does not resolve those questions.

The difference between a general guarantee and a joint-and-several guarantee is substantial. Under Article 686, where the guarantee type is absent or unclear, the default is a general guarantee. A general guarantor ordinarily has a right to refuse performance until the principal dispute has been adjudicated or arbitrated and enforcement against the debtor’s assets has proved insufficient, subject to the statutory exceptions in Article 687. A joint-and-several guarantee requires the corresponding agreement; when its conditions are met, the creditor may seek performance from the debtor or guarantor within the guaranteed scope.

Record the covered debt, amount or cap, payment deadline, guarantee type, scope and guarantee period. Do not assume that every new charge or later order is covered. Article 691 provides a default scope, subject to the parties’ agreement; the underlying entitlement and amount still need proof.

4. Calculate the guarantee period before relying on reminders

The guarantee period is different from a limitation period. Under Article 692, it is not suspended, interrupted or extended. Where there is no agreed guarantee period, or the agreement is unclear, the statutory default is six months from expiry of the principal debt’s performance period. An agreed guarantee period ending before or at the same time as that performance period is treated as no agreement. If the principal payment deadline is absent or unclear, a separate rule ties the start to expiry of the grace period allowed when the creditor demands performance.

The required action also differs. Under Article 693, for a general guarantee the creditor ordinarily must sue or commence arbitration against the debtor within the guarantee period; for a joint-and-several guarantee, the creditor must demand that the guarantor assume guarantee liability within that period. Failure to take the applicable step can release the guarantor. Special routes, including an enforceable notarised debt instrument under Article 27 of the judicial interpretation, need separate assessment.

A reminder to the supplier is not automatically a demand against a personal guarantor. Repeated reminders do not reset the guarantee period. Preserve proof of the recipient, content and receipt, and have both the guarantee-period requirement and any separate limitation period calculated from the actual documents.

5. Recheck the guarantee when agreeing refund instalments

A later instalment plan can change the relationship between the refund debt and the guarantee. Under Article 695, extending the principal payment deadline without the guarantor’s written consent does not alter the guarantee period. If a change increases the debt without that consent, the guarantor does not bear the increased part; a reduction leaves responsibility for the reduced debt under the statutory rule.

Before accepting a revised repayment timetable, review whether the guarantor joins the amendment, what debt remains covered and what deadlines apply. Avoid a release of the original supplier or security before the agreed condition for release is actually met. Do not assume that the sales contract’s arbitration clause automatically binds a later personal guarantor: the guarantee’s dispute-resolution arrangement, applicable law, jurisdiction and evidence must be examined. Even an enforceable guarantee does not establish that assets are available for recovery.

6. Prepare a focused review before the next payment deadline

For an initial discussion, provide the supplier’s name, the amount and currency, the refund due date, the identity and stated capacity of the person promising payment, the complete wording of the undertaking, subsequent amendments and any court or arbitration deadline. Start with a short summary; detailed identity documents and sensitive evidence can be addressed through an agreed review process.

The review can identify the possible debtor and guarantor, classify the undertaking, map the relevant deadlines and assess negotiation or proceedings. The document scope, any urgent steps and fees should be agreed before engagement. A request for review does not itself commence proceedings, preserve a deadline or guarantee recovery.
