A Chinese supplier asks a foreign buyer to pay an affiliate, trading company or individual. The order later fails, and the seller says: “The money went to someone else.” The buyer needs to establish two separate points: whether that payment discharged the price obligation, and which person has a legal duty to refund it. A bank receipt alone does not answer both questions.

This guide addresses commercial goods purchases involving a mainland Chinese supplier. Chinese domestic-law rules below apply only where they govern the particular issue. The CISG, Articles 1, 4 and 6, may govern the sale, subject to its scope, declarations and any effective exclusion. Agency and other questions outside its scope require a separate applicable-law analysis. In a Chinese court, Articles 16 and 41 of the Law on the Application of Laws to Foreign-Related Civil Relations address agency and contracts respectively; they should not be treated as one automatic choice of Chinese law.

1. Identify the seller before choosing the refund debtor

Compare the accepted quotation, purchase order, contract, invoice, seal or signature, order correspondence and performance records. Record each entity’s exact legal name and role. An English trading name, factory photograph, shared website or salesperson’s description of “our group” does not establish that every connected company contracted with the buyer.

Article 1 of the Supreme People’s Court’s Sales Contract Interpretation, as amended in 2020, requires consideration of transaction practices and other evidence where a party relies on delivery records, settlement documents or invoices without a written contract. The invoice is relevant, but cannot safely replace the whole transaction file. A signed contract is likewise assessed with any valid amendments and evidence of authority.

Under Civil Code Article 465, a lawfully formed contract generally binds its parties, subject to statutory exceptions. Article 3 of the Company Law recognises a company’s separate property and liability. Common ownership alone does not establish that an affiliate owes the seller’s refund. Any guarantee, assumption of debt or other basis for additional liability must be proved separately.

2. Connect the third-party account to an authorised instruction

Preserve who issued the payment instruction, when it was sent, the exact beneficiary and account, the specified order and amount, and the seller’s response after payment. A useful confirmation expressly allocates the transfer to the order and acknowledges the remaining balance. Merely showing that a bank executed a transfer does not establish that the seller authorised the recipient.

The Civil Code distinguishes authorised agency (Article 162), employees acting within their work authority in the entity’s name (Article 170), unauthorised acts and ratification (Article 171), and apparent authority (Article 172). An employee’s job title, a familiar chat avatar or possession of a seal does not resolve every authority question.

Article 28 of the Supreme People’s Court’s General Provisions Interpretation, Fa Shi [2022] No. 6, requires an appearance of authority and a counterparty who neither knew of the lack of authority nor was negligent. It also allocates the burdens of proof. Do not assume that any message apparently sent by a salesperson automatically protects the buyer. Check the complete communications, established dealings and any unusual changes.

3. Separate collection of money from the duty to refund

If the evidence establishes an authorised collection arrangement and payment for the order, the seller’s use of a collection agent does not by itself replace the seller as the contracting party. A refund still requires a supported basis, such as an agreed cancellation or effective termination. See the guides on non-delivery and prepayment recovery and cancelling a custom order before shipment.

Where Chinese domestic contract law applies, Article 566 addresses the consequences of termination. Article 593 provides that a party remains responsible for its breach caused by a third person, with its dispute against that third person dealt with separately. “Our collection company has not forwarded the funds” therefore is not, by itself, a complete answer to an established claim against the seller.

Conversely, the account holder does not automatically become a co-seller or jointly liable refund debtor merely by receiving money. Examine any direct promise, guarantee, debt assumption or other legal basis. Article 551 requires the creditor’s consent for a debtor to transfer a debt. An instruction to pay another account is not necessarily consent to release the seller from its obligations.

4. Treat disputed account changes as a different evidence problem

If the seller denies the instruction, preserve the original email and headers, attachments, chat exports and account-change history. Verify through an established, independently confirmed contact channel. If a diversion is suspected, promptly ask the bank about available recall or tracing measures and preserve records for an appropriate report. Neither a recall request nor a report proves that funds will be recovered.

In CLOUT Case 2238, Shanghai First Intermediate People’s Court, (2024) Hu 01 Min Zhong 10365, decided 13 February 2025, payment to a changed account did not discharge the buyer’s obligation because the evidence failed to connect the account and instruction to the seller. The case concerned a Chinese buyer and an overseas seller. It illustrates the importance of authorisation evidence; it does not make every third-party payment invalid or decide every fraud-loss allocation.

5. Build one file linking the contract, authority and funds

Record Question it should help answer
Contract and entity records Which legal person accepted the sale, and how do its registered name, trading name and invoice issuer relate?
Payment instruction and authority Who nominated the recipient, for which order, and with what actual or apparent authority?
Bank execution and receipt evidence What amount and currency actually moved, to which beneficiary, and was it returned? A payment instruction is not proof of completed credit.
Allocation and acknowledgments Did the seller acknowledge the transfer as payment for this order? Were there other orders, deductions or balances?
Refund basis and recovery information What breach, cancellation or termination supports the claim, against whom, under which dispute clause, and with what available asset information?

Keep original records and full context alongside translations. Record inconsistencies instead of silently rewriting the beneficiary or contracting name. If several transfers or orders exist, reconcile each separately. The related cross-border RMB transaction-file guide covers the banking-document side; bank processing and civil liability remain different questions.

6. Choose a claim and forum that fit each respondent

Prepare a respondent-by-respondent claim map: the alleged role, amount, legal basis, supporting documents and likely defence. A potential restitution claim against a recipient requires its own analysis. Civil Code Article 985 concerns enrichment without legal basis and contains exceptions; receipt of funds under an authorised collection arrangement cannot simply be labelled unjust enrichment because the sale later failed. Other liability theories likewise require evidence and their applicable legal conditions.

Check the court or arbitration clause, its parties and scope, service requirements and enforcement prospects before filing. The seller’s arbitration clause should not be assumed to bind every recipient or affiliate. Consider any urgent preservation needs and relevant deadlines without waiting indefinitely for the parties to resolve an internal accounting dispute.

For an initial review, provide the parties’ legal names for conflict checks, a short chronology, the order amount and currency, the payment and instruction records, the supplier’s response, the dispute clause and any urgent deadline. Do not send passwords or banking credentials. The review can identify the correct respondent, evidence gaps and possible negotiation, arbitration or litigation routes; service scope, fees and engagement terms are discussed after conflict and matter checks. An enquiry alone does not create an engagement or guarantee recovery.
